FOR THE ASIAN NUTRITION SOCIETY FOR SPORTS AND HEALTH
Article I. Name and Geographic Area
The name of this organization is Asian Nutrition Society for Sports and Health. The organization’s name is abbreviated as “ANSSH,” and shall hither to be referred to as “The Society.” The Society’s geographical base shall be in Asia, while contribution should be to the world.
Article II. Mission
The mission of the Society is to promote the development and dissemination of scientific knowledge in the field of sports and health nutrition through research cooperation, education, training, and academic exchange.
By-law
ARTICLE I. Principal Office
SECTION 1. The Society shall have its principal place of business. The headquarter office shall house all activities delegated to the employees of the Society. President shall employ an Executive Director to conduct administration of theoffice. The current address is 5 Lixiang Road, Zhongguancun Science & Technology Park, Changping District Beijing P. R. China, 102200. This office is subjected to be relocated when elected President moves up to be the President with a concrete plan to sustain the office following approval by the Executive Committee (EC) meeting.
ARTICLE II. Corporate Seal
SECTION 1. The corporate seal of the Society (Website logo) shall be a circle surrounded by the words ‘Asian Nutrition Society for Sports and Health’. The seal shall also show the founding year.
SECTION 2. The Executive Director shall have custody of the seal. It shall be used for all official documents requiring it, and shall be placed on the documents by the Executive Director upon approval by the EC.
ARTICLE III. Membership
SECTION 1. The Society shall consist of honorary, regular, affiliate, emeritus, graduate student, undergraduate student, and sustaining associate members.
SECTION 2. Honorary Members. Distinguished scientists of any country who have contributed to the advance of Sports Nutrition and Health shall be eligible for proposal as honorary members of the Society.
SECTION3. Regular Members. Any person who has conducted and published original research related to Sports Nutrition and Health, and who is presently engaged in professionally related work, shall be eligible for proposal for regular membership in the Society. Membership fee is $100.
SECTION 4. Affiliate Members. Persons or corporates who are interested infostering the mission and aims of the ANSSH but do not have evidence of scholarly work in related area shall be eligible for proposal for affiliate membership in the Society provided they are residents of Asia. Membership fee is $100.
SECTION 5. Emeritus Members. A regular member may apply to EC for transfer to emeritus membership if that person (1) is retired from regular employment or(2) has been forced to retire from regular employment because of illness or disability and (3) has been a Regular member in good standing for a minimum of10 years. An emeritus member may be restored to regular membership status on request to the EC.
SECTION 6. a. Graduate Student Members. Any doctoral or masters programstudent who is actively engaged in Sports Nutrition or Health Nutrition work as attested to by two regular members of the Society shall be eligible for proposal for graduate student membership. Membership fee is $25 per year.
SECTION 6. b. Undergraduate Student Members. Any matriculated undergraduate student, as demonstrated by submission of verification of student status, who has an interest in physiology and/or sports/exercise nutrition is eligible for undergraduate student membership. Membership fee is $10 per year.
SECTION 7. Sustaining Associates (or Group Membership). An individual representing a regional professional organization, who has an interest in the advancement of Sports Nutrition and Health investigation may be invited by the President or existing EC members, with approval in an EC meeting, to become sustaining associates. The regional professional organization is entitled to nominate two EC members from their organization for the Society. Membership fee is $300.
SECTION 8. Evaluation for Membership. Applications for regular, affiliate and student membership shall be reviewed by the Executive Director. If the applicants meet the criteria established by the EC, they will be accepted immediately and so notified. The Executive Director will inform the EC of the names of new members.
SECTION 9. Expulsion of Members. The Society reserves the right to revoke the membership of a member found guilty of scientific misconduct.
ARTICLE IV. Officers
SECTION 1. Executive Committee (EC). The EC has 15 board members, representing at least 7 countries in Asia. New EC members shall be nominated by existing member with a curriculum vitae and agreed by two third of the votes in an EC meeting. Amendment of total size of the board member shall be done in an EC meeting. The management of the Society shall be vested in a board meeting consisting of the President, the President-Elect, the Honorary President (immediate Honorary President), and the rest of EC members. Each EC member shall committed in his/her responsibility to organize at least one bi-annual International Conference of ANSSH. A quorum for conducting official business of the Society shall be two-thirds of the EC board members. Decision made during EC meeting required minimally two-thirds of the supporting votes.
The Chairpersons of the standing Committee are ex officio members of the Executive Committee without vote. The Executive Committee may fill any interim vacancies in its membership. Executive Committee shall appoint members for allcommittees.
In the interim between meetings of Executive Committee, an Executive Board consisting of the President, President-Elect, Honorary President, and the Secretary General shall implement the policies of the Executive Committee.
SECTION 2. President. A person shall serve one term (2 years) as president, andis renewable. In the case when the new President-Elect has yet to assume Presidency,the incumbent President shall continue his/her duties until the new candidate assumes the role. The President shall chair all sessions of the Executive Committee and Business Meetings of the Society and shall be an ex officio member of all committees without vote. In case that the President is not available for any reason, President-Elect shall chair the meetings.
SECTION 3.
a. President-Elect. The President-Elect shall serve as Vice-President ofthe Society.
b. Honorary President. Honorary President is the immediate Past President.The Honorary President shall serve as representative to deliver certificates tonewly elected Officers.
SECTION 4. Nomination of Officers. Nominations for President-Elect and new EC members will be made by ballot, on forms provided by the Secretary General in a business meeting, during the biannual International Conference of ANSSH. The results of the election will be announced at the close of the biannual Meeting of the Society and the newly elected officers shall take office from the closeof the Meeting.
SECTION 5. Secretary General. Secretary General is an EC member, who shall beresponsible for organizing EC meeting on behalf of the President. SecretaryGeneral shall ensure the records and minutes of EC meeting are maintained inaccordance with the By-Laws.
SECTION 6. Executive Director. The President shall appoint and compensate an Executive Director of Headquarters Office who shall assist in carrying out the functions of the Society including the receipt and disbursement of funds under the direction of the EC. He/she shall be responsible for the management of the Headquarters Office of the Society under general supervision of the EC.
ARTICLE V. Standing Committees
SECTION 1. The EC may appoint special committees such as Publications Committee, Finance Committee, Membership Committee, Education Committee, Joint Program Committee, International Scientific Advisory Committee, AwardsCommittee as deem necessary or by voting by the Society. The EC shall elect aChairperson to serve a three-year term. The Chairperson shall serve on EC as anex officio member.
SECTION 2. Term of Office of Chairperson. The Chairperson of a standing committee may serve one full term in that capacity in addition to any consecutive term as a committee member limited by other provisions of these By-laws.
ARTICLE VI. Dues
SECTION 1. Dues. The biannual dues for regular members, affiliate members, and student members shall be determined by the EC and shall be paid in advance by January 1.
SECTION 2. Nonpayment of Dues. Members whose dues are two years in arrears shall cease to be a member of the Society, unless, after payment of dues in arrears and application to EC, he/she shall be reinstated at the next meeting by vote of the EC. It shall be the duty of the President-Elect to notify the delinquent of his/her right to request reinstatement.
SECTION 3. Retirement. A regular member who has been granted emeritus membership status is relieved from the payment of dues but retains the other privileges of his/her former membership status, except voting privileges.
ARTICLEV II. Financial
SECTION 1. Operating Fund Purpose. The Operating Fund is used to provide sufficient cash to meet daily and ongoing financial obligations of the Society. The Operating Fund will contain sufficient cash to cover current expenditures. Investments in the Operating Fund are limited to cash and fixed income instruments.
SECTION 2. Short-Term Fund Purpose. The Short-Term Fund is used to meet unanticipated expenditures that exceed the Operating Fund’s reserves. Investments in the Short-Term Fund is limited to cash and fixed income instruments.
SECTION 3. Long-Term Fund Purpose. The purpose of the Long-Term Fund is to maintain a long-term reserve for significant and unanticipated expenditures and to support, with some portion of the reserve’s earnings, the general operating budget of the Society. The Long-Term Fund will also provide a structure insupport of endowed and EC-designated funds used to:
Support programs for the development of Sports Nutrition and Health.
Encourage communication with other disciplines of science and the community at large.
Foster scientific and cultural relations with other parts of the world.
SECTION 4. Fiscal Year. The official fiscal year shall be from January 1 throughDecember 31.
SECTION 5. Audit. All statements of net assets and related statements of income, expenditures and fund capital shall be audited annually by an independentauditing firm.
SECTION 6. Bonding. All persons having signatory powers for the funds of the Society shall be bonded.
ARTICLE VIII. Publications
SECTION 1. All publications shall be under the jurisdiction and management of the Publications Committee unless otherwise designated by the EC. The names of the journals and publications may be changed by the EC on recommendation from the Publications Committee and any publication may be dropped by EC on recommendation from the Publications Committee.
ARTICLE IX. Meetings
SECTION 1. EC Meeting. A meeting of the Society for transacting business,re-electing officers and members, presenting communications, and related activities shall ordinarily be held during the bi-annual meeting.
SECTION 2. Special Meetings. Special meetings of the Society or of the EC may beheld at specific times and places as determined by the EC.
ARTICLE X. Society Sections and Affiliations
SECTION 1. Society Affiliations. The Society shall maintain membership in such organizations as determined by the EC. The EC shall authorize affiliation of societies having mutual interests to the Society upon approval of the membership.
ARTICLE XI. Regulations
SECTION 1. General Prohibitions. Notwithstanding any provision of the Constitution or Bylaws that might be susceptible to contrary interpretation:a). The Society is organized and operated exclusively for scientific and educational purposes. b). No part of the net earnings of the Society shall or may under any circumstances inure to the benefit of any member or individuals. c). No substantial part of the activities of the Society shall consist of carrying on propaganda, or otherwise attempt to influence local, state or national legislation. (All activities of the Society shall be determined by the EC.) The Society shall not participate in, or intervene in (including the publishing or distributing of statements) any campaign on behalf of any candidate for public office. d). The Society shall not be organized or operated for profit.
SECTION 2. Distribution on Dissolution. Upon lawful dissolution of the Societyand after payment of all just debts and obligations of the Society, the EC shall distribute all remaining assets of the Society to one or more organizations selected by the EC which have been approved by the local tax agency of headquarter office as organizations formed and dedicated to exempt purposes.
ARTICLE XII. General
SECTION 1. Records. All official records, archives and historical material shallbe held in the Headquarter Office in the custody of the Executive Director.
SECTION 2. Procedures and Customs. The Society shall maintain a current Operational Guide detailing the procedures and current customs of the Society operations as well as the duties and responsibilities of officers, committees,and major employees. The Operational Guide shall be maintained current by the Executive Director as determined by the EC.
ARTICLE XIII. Amendments
SECTION 1. Presentation. Amendments to these Bylaws may be proposed in writing, by any regular member, to EC at any time up to one month in advance of any Business Meeting of the Society. Such proposed amendments must be presented in writing at the following Business Meeting for action by the Society.
SECTION 2. Adoption. These Bylaws may be amended at any Business Meeting of the Society by a two-thirds majority vote of the EC members present and voting.
